EXECUTIVE SUMMARY
In unique circumstances, Shogun Films is seeking to raise £200,000 of investment in 100 units of £2,000 under the UK government’s Seed Enterprise Investment Scheme (‘SEIS’) in order to produce 2 highly commercial genre movies in the first quarter of 2025. For this one opportunity it is possible to underwrite 90% of the investment.
The Films are –
Sherlock Holmes In The House of the Devil (horror/thriller)
Killer Instinct (action/fighting)
The films have a total combined cost of £200,000 and the finance is being structured in such a way that there is only 10% at risk by taking advantage of the new 40% independent film tax credit which will be passed onto investors as part of their recoupment – even before the films are released! However, after they have made just £20,000 in combined revenue, both are into profit for investors.
Under the SEIS rules, as long as you are a UK tax payer with tax to pay, you can write off 50% of your investment against your income tax bill immediately, mitigate 50% against any CGT bill you might have and pay no CGT on your return, so long as you hold the investment for three years. Please ensure your personal circumstances meet the eligibility criteria.
This is a once in a lifetime opportunity to invest in and support British Film with this minuscule level of risk as there is a cap on how much SEIS funding we can raise (and thereafter the income tax mitigation is 30% rather than 50%).

THE OPPORTUNITY
Rapidly becoming the premiere producer of high quality low budget genre film in the UK, In 2023 Shogun Films really hit its stride and shot 4 movies over the past year. Shogun now has output deals with 101 Films and Film Bridge International. In September 2024 after a year of complex regulatory navigation, Shogun became one of the very few qualifying film companies for the UK government’s Seed Enterprise Investment Scheme and Enterprise Investment Scheme. Shogun Films is a member of the EIS Association.
THE FILMS
A period gothic horror sees the world’s greatest detective, living in retirement in Sussex, called in to investigate a series of supernatural incidents at the stately home of a sinister European nobleman. Holmes finds himself drawn into a web of horror involving the occultist Aleister Crowley and a terrifying satanic artefact known as the Head of Azazel which could alter the course of the war.
Sherlock Holmes’ entered the public domain in 2023 giving filmmakers a tremendously valuable piece of IP for free, and this will be the first movie to pit the character against the supernatural. The setting in one lavish location allows us to deliver huge production value on a very tight budget.
Conceived as a vehicle for rising star and former martial arts champion Jeremy Parisi, this all-action thriller sees a former French special forces soldier searching for his sister in the seedy underbelly of London’s secret bare knuckle fighting community. Forced to compete in order to infiltrate the criminal network behind it, he soon finds himself fighting for his life.
From the makers of Vendetta, We Still Kill The Old Way and White Collar Hooligan, this brutal crime film is sure to appeal to a huge British audience.
PROJECTED PROFITS
Investors receive a pro-rata’d share of 50% the film’s profits in perpetuity. The other 50% is retained by the producers (Shogun)
The films are projected to make between £150,000 and £250,000 each, which would mean that a £2,000 investment could generate a profit of between £1,300 and £2,300 per investment unit.
THE INVESTMENT
Established in 2012, the Seed Enterprise Investment Scheme exists to offer investors in early stage companies tax relief in order to encourage this crucial level of support for British businesses. Chancellor Rachel Reeves mentioned the scheme in her recent budget speech and the Labour government recently extended its sunset clause for a further decade. It is the most tax efficient investment possible in the UK but is not as widely known as it should be.

Once you sign your agreement and make the investment we will supply you with an SEIS1 form to submit with your tax return (either yourself or via your accountant/advisor).
Investors also receive a credit on the end of the movie, two tickets to each film’s premiere and the opportunity to be an extra in Killer Instinct.
